General Counsel Services

Many businesses do not find it cost effective to hire a full-time in-house counsel. Instead, businesses often outsource their legal needs to law firms, or make internal risk determinations to short cut the legal review process. Unfortunately, the latter approach may result in unmitigated legal or compliance related risks. 

Using outside general counsel services solves many of these problems for businesses. Companies can take advantage of having an experienced attorney on retainer without paying law firm hourly rates or committing to having an attorney full-time on its payroll.

 

Outside general counsel or "outside GC" work  is performed on an as-needed basis to meet a company's internal needs -- backfill for in-house counsel on leave, assist with ongoing overflow work or help manage special projects.

 

The outside GC is available by email, phone or Skype, and if specifically requested, on-site. Close communications allow for the development of relationships between the outside GC and the business's management or executive teams. In this scenario, the outside GC can quickly understand the business and its goals to provide nuanced and well-informed legal advice.

 

 

Technology-Related Contracts and Agreements

 

Common agreements in this category include software licenses, cloud computing, software as a service agreements, EULAs and related intellectual property licenses.  Website "terms of use" and privacy policies also fall into this category.  

Whether the core of a business is technology based or not, businesses will be faced with making decisions concerning their use of technology all of the time. Businesses are faced with contracts and licenses that are computer, software or technology related. These businesses may find themselves signing such documents without understanding the short term or long term impacts on their business.  

 

 

Business Contracts and Agreements

 

Contracts are legal binding agreements that are necessary for all businesses. Four general types of business agreements consist of sales-related agreements, real estate leases, employment related agreements and general business contracts.

 

  • Sales related agreements often include customer, vendor or supplier agreements. These agreements may relate to the sale or purchase of goods or services and may include supply contracts, purchase orders, warranty, fulfillment services agreements, purchase agreements, and manufacturing or production agreements. These agreement can be stand-alone or in the form of Terms and Conditions on a company's website.

  • Real estate agreements entered into by businesses are typically leases for office, retail or industrial space. They may also include the purchase or sale of vacant or improved land. Relevant documents include letters of intent, listing agreements, leases, and purchase/sale agreements.

  • Employment related agreements typically specify the terms of employment and may include offer letters, confidentiality agreements, non-compete agreements, severance agreements, independent contractor agreements, subcontractor agreements and executive employment agreements.
     

  • General business contracts are any contracts necessary on a day to day basis such as confidentiality agreements, non-disclosure agreements, releases, settlements agreements and assignments.
